We are pleased to announce that, effective August 1, 1998, Michael D. Schley and Joseph F. Look have formed a new law partnership.  The new firm, Schley & Look LLP, has offices in Santa Barbara, Solvang and Santa Maria.

The firm will continue the practices of Mr. Schley and Mr. Look in the following principal areas:

BUSINESS FORMATION AND REPRESENTATION: Incorporations, "S" corporations, general and limited partnerships, limited liability companies ("LLCs"), limited liability partnerships ("LLPs"), and ongoing general corporate compliance.

ESTATE PLANNING SERVICES: Wills, living trusts, financial and health care powers of attorney, trust and probate administration.

REAL ESTATE: Commercial and residential real estate transactions, including purchase or sale of property, 1031 exchanges, easements, leases, and property development.

BUSINESS TRANSACTIONS AND CORPORATE FINANCE: Purchases and sales of businesses, mergers and consolidations, securities offerings, corporate acquisitions and defenses, commercial law & contracts, compliance with governmental requirements.

FINANCIAL SERVICES: Banking, broker-dealer, investment adviser and insurance regulation.

GENERAL TAX AND BUSINESS PLANNING: Trademark registration & trade name and trade secret protection, technology licensing, securities regulatory compliance, transactions, private placements and other business financings, agricultural and ranching law, employment law procedures & compliance, antitrust planning and compliance, compensation planning, nonprofit organizations and charitable foundations.

There will be no immediate change in office addresses, phone numbers, or other information from the current offices.

But wait, that's not all:  The firm has hired Peter L. Stacy as an associate attorney, starting August 15, 1998.  Mr. Stacy was raised in Santa Barbara County, and has been engaged for the last few years in a multifaceted practice with a Los Angeles area firm.
